LSWR acquires Xplainers to expand offerings that support educational, training development of college students

Digital company provides innovative solutions for university prep


Edra S.p.A, Italy's leading healthcare and health communication and knowledge provider and parent company of LSWR Group, recently acquired a majority stake in Xplainers S.r.l., an e-learning platform that provides online courses and support for students to prepare for university entrance tests, particularly regarding medical degree programs.

Xplainers S.r.l., is a platform that guides young students towards the university world to train a new generation of talents and professionals. Xplainers is characterized by a dynamic and innovative work model and a mindset that aims to create the most positive impact possible. The work is based on college and career guidance activities and college admission preparation through a method that puts students at the center of teaching.

The company operates through two brands: Pro-Med for the Medical-Health area and WeTest for other subject areas. Both originated from projects that have always been managed by university students who are passionate about teaching, with the aim of creating online content and helping young people gain access to university experience.

Giorgio Albonetti, president of the LSWR Group, said the acquisition is an investment that consolidates the group's and, particularly, Edra's leadership position in the university sector.

“The acquisition of Xplainers strengthens and enriches the group's varied expertise and services, consolidating knowledge and collaboration with university students and contributing to the development of the new professions the system needs,” he said. 

Orrick with special counsel Anna Spanò (M&A) assisted LSWR Group and PwC acted as exclusive Lead Financial Advisor to the shareholders of Xplainers Srl with a team composed of Raffaele Perrone (Partner) and Giacomo Nava (Manager).

CMS Law Firm, with attorneys Edoardo Marangoni and Giacomo Cavasola and Dr. Gaetano Buffone, assisted Xplainers S.r.l. shareholders with the legal aspects of the transaction.
